OCLC announced April 12 that it has signed a letter of intent with the Pica Foundation of the Netherlands to create a jointly owned not-for-profit organization to better serve European libraries that contract with both companies.
The foundation plans to transfer its library activity to a limited liability company to be called Pica B.V. OCLC will participate in the new company through a graduated acquisition of part of its stock. The arrangement "may grow into markets we're serving in the U.K. and elsewhere," OCLC Executive Vice-President Donald Muccino told American Libraries.
Subject to satisfactory negotiations, approvals by both boards of trustees, and the conclusion of the due-diligence process, the parties hope to complete the transaction by the end of the year.
The nonprofit Online Computer Library Center is based in Dublin, Ohio, and serves over 34,000 libraries in 67 countries. The Dutch not-for-profit Pica Foundation, based in Leiden, provides cataloging, interlibrary loan, and other services to hundreds of libraries in the Netherlands, France, and Germany.
